Service Credit Terms

These Service Credit Terms ("Terms") are an agreement between you and Boson AI USA Inc. ("Boson AI," "we," "us," or "our") and govern your purchase, receipt, or use of any credit redeemable for our Services ("Service Credit"). Capitalized terms used but not defined in these Terms have the meanings set forth in the agreement between you and Boson AI governing your use of the applicable Services (the "Agreement"). If your transaction is with a Boson AI affiliate rather than Boson AI USA Inc., the contracting entity will be identified at the time of purchase or issuance, and references to "Boson AI" mean that entity.
1. Prepaid Service Credits
We may offer the option to prepay for certain Services through the purchase of credits ("Prepaid Service Credits"). Prepaid Service Credits represent the amount you have paid in advance for use of the respective Services. Additional terms may apply to specific Services.
2. Promotional Service Credits
We may also offer Service Credits free of charge as part of a promotional program rather than for purchase ("Promo Service Credits"). Promo Service Credits will not be applied against any sales, use, gross receipts, or similar transaction-based taxes that may be applicable to you.
3. Nature of Service Credits
Service Credits are not legal tender or currency; are not redeemable, refundable, or exchangeable for any sum of money or monetary value (except where required by law); have no equivalent value in fiat currency; do not act as a substitute for fiat currency; and do not constitute or confer upon you any personal property right. Service Credits are non-transferable and may be used only in connection with the applicable Service for which they were issued. Your Service Credit balance is not a bank account, digital wallet, stored-value account, or other payment device.
4. Expiration
Promo Service Credits expire one year after the date of issuance if not used, unless otherwise specified at the time of issuance. Prepaid Service Credits do not expire based solely on the passage of time, but remain subject to Section 6 and to any additional terms specified at the time of purchase.
5. Sales Are Final
All sales of Services, including sales of prepaid Services, are final, and Service Credits are non-refundable, except where a refund is required by applicable law. Where applicable law grants you a mandatory refund, cancellation, or withdrawal right, nothing in these Terms limits that right.
6. Suspension, Termination, and Discontinuation
We may modify, suspend, deprecate, or discontinue any Service (or any part of it), and may suspend or terminate your use of the Services or your Service Credit balance, in accordance with the Agreement and applicable law. If we discontinue a Service for which you hold unused Prepaid Service Credits, and the discontinuation is not due to your breach of these Terms or the Agreement, we will, to the extent required by applicable law, either allow the affected Prepaid Service Credits to be applied to a comparable Service or refund the unused, paid portion.
7. Balance and Verification
Your available Service Credit balance may be reviewed in your applicable Boson Workspace account, depending on the specific Service. You are solely responsible for verifying that the proper amount of Service Credits has been added to or deducted from your balance.
8. No Transfers
We prohibit and do not recognize any purported transfers, sales, gifts, or trades of Service Credits. Any attempt to use, sell, or transfer Service Credits in violation of these Terms may result in revocation, termination, or cancellation of the affected Service Credits and/or your use of the Services, and/or suspension or termination of your account, in each case in accordance with the Agreement and applicable law. Where the affected Service Credits are Prepaid Service Credits, we will refund the unused, paid portion to the extent required by applicable law.
9. Taxes
You are responsible for any sales, use, gross receipts, value-added, or similar transaction-based taxes applicable to your purchase or use of Prepaid Service Credits, excluding taxes based on our net income. Promo Service Credits are treated as set forth in Section 2.
10. Changes to These Terms
We may modify these Terms by posting a revised version on our website or by emailing the address associated with your account. The modified Terms become effective upon posting or, if we notify you by email, as stated in the email. Changes will not apply retroactively to Prepaid Service Credits already purchased before the effective date to the extent such changes would materially reduce the value or usability of those credits, except as required by law. By receiving or using any Service Credit after the effective date of a modification, you agree to be bound by the modified Terms.
11. Incorporation of the Agreement
These Terms supplement the Agreement and the Boson AI Terms of Service, which are incorporated by reference. The provisions of those documents governing dispute resolution and arbitration, class action and jury-trial waiver, governing law, entire agreement, severability, waiver, and assignment apply to these Terms. In the event of a conflict between these Terms and the Agreement with respect to Service Credits, these Terms control.
